Terms of Service — Contract Scanner

1. Acceptance of Terms

By installing, accessing, or using the Contract Scanner Chrome extension, desktop app, mobile app, or website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Contract Scanner ("we," "us," or "our"). We may update these Terms from time to time; continued use of the Service after changes constitutes acceptance.

2. Description of Service

Contract Scanner is an AI-powered tool available as a Chrome browser extension, Windows/macOS/Linux desktop app, and iOS/Android mobile app. It analyzes the text of contracts, Terms of Service agreements, and similar legal documents. The Service:

Identifies potentially risky or unfavorable clauses in the analyzed document
Provides plain-English summaries and suggestions for identified clauses
Assigns a general risk score to the analyzed document
Saves your analysis history (if signed in)

3. Not Legal Advice

Contract Scanner is not a law firm and does not provide legal advice. The analysis output is generated by an AI model and is provided for general informational and educational purposes only. It does not constitute legal advice, legal opinion, or a substitute for consultation with a licensed attorney.

We make no representations or warranties that the analysis is:

Complete, accurate, or current
Applicable to your specific jurisdiction or circumstances
A substitute for professional legal counsel

For any contract with significant financial, legal, or personal consequences, always seek advice from a qualified attorney licensed in your jurisdiction before signing.

4. Eligibility and Accounts

You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this age requirement.

When you create an account, you agree to:

Provide accurate and complete registration information
Maintain the security of your password
Notify us immediately of any unauthorized use of your account
Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service to analyze documents you do not have the right to access or disclose
Attempt to reverse-engineer, decompile, or extract the source code of the extension
Circumvent any rate limits, quotas, or access controls
Use automated scripts or bots to access the Service
Use the Service in any way that violates applicable law or regulation
Resell, sublicense, or commercially exploit the Service without written permission
Transmit any malware, viruses, or harmful code through the Service
Impersonate any person or entity or misrepresent your affiliation

6. Subscription Plans and Billing

6.1 Free Tier

Users receive up to 5 analyses per calendar month at no charge — no account required for the Chrome extension free tier. The free tier is subject to change with reasonable notice.

6.2 Pro Subscription

Pro subscriptions are billed monthly or annually through our payment processor (LemonSqueezy). Prices are displayed at the time of purchase and are subject to change.

6.3 Cancellation and Refunds

You may cancel your Pro subscription at any time. Cancellation takes effect at the end of the current billing period; you retain Pro access until then.
We do not provide pro-rated refunds for partial billing periods, except where required by applicable law.
If you believe you were charged in error, contact billing@contractscanner.app within 14 days of the charge.

6.4 Bring Your Own API Key

Users may configure a custom AI model endpoint and API key in Settings. Use of third-party AI services through this feature is subject to that provider's terms and pricing. We do not charge additional fees for custom model usage, but we cannot guarantee compatibility with all providers.

7. Intellectual Property

7.1 Our IP

The Service, including its design, code, trademarks, and content, is owned by or licensed to Contract Scanner and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes.

7.2 Your Content

You retain ownership of any contract text you submit for analysis. By submitting text for analysis, you grant us a temporary, limited license to process that text solely for the purpose of providing the analysis result to you. We do not claim ownership of your documents.

7.3 Feedback

If you provide feedback or suggestions about the Service, you grant us a non-exclusive, royalty-free, perpetual license to use that feedback to improve the Service.

8. Privacy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF AI-GENERATED ANALYSIS

AI-generated analysis may contain errors, omissions, or inaccuracies. You use the analysis output at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONTRACT SCANNER, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
DAMAGES ARISING FROM YOUR RELIANCE ON AI-GENERATED ANALYSIS IN MAKING LEGAL OR FINANCIAL DECISIONS

ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $50 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless Contract Scanner and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service or violation of these Terms.

12. Third-Party Services and Links

The Service integrates with third-party services (AI providers, payment processors). We are not responsible for the practices, availability, or content of these third-party services. Use of third-party services is subject to their respective terms.

13. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Contract Scanner is incorporated, without regard to conflict of law principles.

Any dispute arising from these Terms or the Service shall first be addressed through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

15. Chrome Web Store Terms

Contract Scanner is distributed through the Google Chrome Web Store. Your use of the Service is also subject to the Google Chrome Terms of Service and the Chrome Web Store Program Policies.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Contract Scanner concerning the Service and supersede all prior agreements, communications, and proposals, whether oral or written, between us.
